These terms set forth the legally binding terms and conditions (“Agreement” or “Terms”) for Your use of the Content (as defined below).  It serves as a legal contract between you (“Licensee,” “Podia User” or “You”) and Trans World Radio, a ministry with its principal office located at 300 Gregson Drive, Cary, North Carolina, USA (“TWR” or “Licensor”) for the purpose of Your use of certain rights in and to video content (the “Content” as defined below) created by TWR. By downloading Content from this website, You agree to conduct this transaction electronically and You agree to be bound by these Terms in respect to the Content. You also acknowledge that the privacy Terms associated with Your use of the Content and use of the Podia site are the following: https://www.podia.com/privacy and, where applicable, Podia’s EU Data Processing Addendum located at https://www.podia.com/dpa.

TWR produces, creates, and distributes media materials including the Content to further Christian engagement and Christian discipleship, such media including but not limited to written, audio, video, and electronic media, and TWR owns Content produced by MOTION, a ministry of TWR. 

You wish to license the Content for digital engagement and offline discipleship to one or more selected people groups (the “Purpose”), and TWR is willing to grant the right to use Content for the Purpose subject to the following Terms: 

1.     The Content: The Content is any content downloaded by Licensee from MOTION’s video content library on Podia.com.

2.     Grant of License: Subject to the terms and conditions of the Agreement, TWR hereby grants to You, and You hereby accept, a non-exclusive, non-transferable right to copy, publish, transmit, communicate, display, and perform the Content by TWR-approved means online and offline to end users worldwide as well as a right to cut the Content into shorter clips to use online if desired.  You also agree that You will not sell the Content and will not try to gain any commercial income from the Content.

3.     Restrictions: The only users considered valid users of the Content are users who directly download the Content from Podia and enter into an Agreement with TWR. If You post the Content online as part of Your use under Your license, You may not make the Content available for download from any site, page, digital platform, or by any other means of availability. If You have questions about downloads, TWR may be reached at hello@twrmotion.org. You also acknowledge that this license does not grant You the right to distribute the Content by means of broadcast or streaming, which includes but is not limited to live-streaming, satellite broadcast, and cable. If You would like to distribute the Content through broadcast, You agree to contact hello@twrmotion.org for permission and to obtain a specific broadcast license.

4.     Additional Content Terms; Representation & Warranty: Any additional modifications and any inclusion of the Content with Your ministry-related promotions will require specific advance express written permission from TWR.  TWR may be reached at hello@twrmotion.org.  If You would like to obtain the Content in a new language, You should visit twrmotion.org/request and complete the MOTION form.  You and TWR each represent and warrant that each has complete authority to enter into this contract and to perform obligations under it. 

5.     Ownership: As between You and TWR, TWR is the owner or licensor of the Content and of all components, including without limitation, all art files, illustrations, animation, music and final visual product comprising the Content. You acknowledge that You have no ownership claims in the Content as a result of this Agreement or otherwise. Further, You acknowledge and agree that nothing in this Agreement and nothing from Your usage of the Content shall give You any right, title, or interest in the Content other than the rights specifically granted herein. You agree that You will not make any claim of ownership of the Content or of any part of the Content. All of the Content shall remain the property of TWR. TWR reserves all rights to the Content not expressly granted by these Terms. 

6.     Impact Reports: TWR may, at its own discretion, request updates from You on the use and impact of the Content. TWR will contact You through the email address provided upon creating a login with Podia.com.

7.     Termination: You agree that TWR may terminate the license and rights granted by these terms for any reason by providing no less than thirty-days written notice to You via email.

8.     Governing Law: This Agreement shall be construed and enforced pursuant to the laws of the State of North Carolina and the laws of the United States.

9.     Modification of Terms: TWR reserves the right, in its discretion, to modify or replace any of these Terms, or change, suspend, or discontinue availability of the Content at any time by posting a notice on Podia or by sending You notice via email or by another appropriate means of communication. While we will timely provide notice of modifications, it is also Your responsibility to check these Terms periodically for changes.  Your continued use of the Podia services for the Content following notification of any changes to these Terms constitutes acceptance of those changes, which will apply to Your continued use of the Content going forward.  Your use of the Content is subject to the Terms in effect at the time of such use.
